This End User License Agreement ("Agreement") is entered into between you ("User," "Customer," or "you") and Fazenda Coffee Roasters LLC, a Massachusetts limited liability company ("Fazenda," "Company," "we," or "us"), located at 95 Commerce Way, Dedham, MA 02026.
This Agreement governs your access to and use of the Fazenda wholesale customer application (the "App"). By accessing or using the App, you agree to be bound by this Agreement.
1Eligibility
The App is intended solely for existing wholesale customers of Fazenda Coffee Roasters LLC.
Accounts are created by Fazenda and are not available for public registration.
The App is not intended for individuals under the age of 18.
2License Grant
Fazenda grants you a limited, non-exclusive, non-transferable, revocable license to access and use the App solely for:
- • Placing wholesale product orders
- • Submitting service requests
- • Viewing order and service history
- • Receiving operational notifications
This license is granted only for your internal business use in connection with your relationship with Fazenda.
3Restrictions
You agree not to:
- Reverse engineer, decompile, or attempt to extract source code
- Modify or create derivative works of the App
- Attempt unauthorized access to any part of the App
- Use the App in violation of any applicable law
- Share login credentials outside your authorized business users
4Account Responsibility
You are responsible for:
- • Maintaining the confidentiality of your login credentials
- • Ensuring that only authorized personnel access your account
- • Promptly notifying Fazenda of unauthorized access
Fazenda may suspend or terminate accounts at its discretion.
5QuickBooks Online Integration
The App integrates with QuickBooks Online ("QBO") through Intuit's API solely for the purpose of creating invoices corresponding to wholesale orders submitted through the App.
No payments are processed through the App.
The App does not store credit card information.
Invoice payment processing occurs through QuickBooks Online or other Fazenda-approved methods.
Your use of QuickBooks Online remains subject to Intuit's terms and privacy policies.
6No Financial Transactions in App
The App does not:
- Process payments
- Store payment credentials
- Facilitate financial transfers
It is an operational tool for order placement and service management only.
7Data and Records
Service requests, order history, notes, and any uploaded images become part of Fazenda's operational records and may be retained indefinitely.
8Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE."
FAZENDA MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- • MERCHANTABILITY
- • FITNESS FOR A PARTICULAR PURPOSE
- • NON-INFRINGEMENT
- • UNINTERRUPTED OR ERROR-FREE OPERATION
The App is provided as a convenience tool to facilitate communication and ordering. It does not replace formal contractual terms between Fazenda and its wholesale customers.
9Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- • FAZENDA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM USE OF THE APP.
- • FAZENDA'S TOTAL LIABILITY ARISING FROM THE APP SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).
10Indemnification
You agree to indemnify and hold harmless Fazenda Coffee Roasters LLC from any claims arising from:
- • Unauthorized use of your account
- • Misuse of the App
- • Violation of this Agreement
11Termination
Fazenda may suspend or terminate access:
- • If your wholesale relationship ends
- • For misuse of the App
- • For security concerns
- • At Fazenda's discretion
Termination does not affect retained business records.
12Modifications
Fazenda may update this Agreement at any time. Continued use of the App constitutes acceptance of the revised Agreement.
13Governing Law
This Agreement shall be governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.
Any disputes shall be resolved in state or federal courts located in Massachusetts.
